Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your access to and use of the Tessy Games LLC membership site and related services (collectively, the "Service"). These Terms form a legally binding agreement between you and Tessy Games LLC ("we," "us," or "our"). By registering for an account or using paid features, you agree to these Terms and to our Privacy Policy, which is incorporated by reference.

2. Definitions

"User," "you," and "your" refer to the individual accessing or using the Service.

"Membership" refers to the paid right to access the Service according to the selected plan.

"Content" refers to puzzles, text, images, audio, video, and other material made available through the Service.

3. Changes to these Terms

We may modify these Terms from time to time. We will provide notice of material changes by posting a notice on the Service or by sending you an email. Your continued use of the Service after the changes take effect constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.

4. Eligibility

You must be at least 16 years old to use the Service. By using the Service, you represent and warrant that you meet this requirement.

5. User accounts

Some features require an account; others (such as guest puzzle play) do not. If you create an account, you are responsible for:

• Providing accurate, current, and complete information
• Maintaining the confidentiality of your password and account credentials
• All activity that occurs under your account
• Notifying us promptly of any unauthorized use of your account

We may suspend or terminate your account if we reasonably believe you have violated these Terms or that your account poses a risk to the Service or other users.

6. Membership and billing

Plans and billing cycles

Access to paid features requires an active Membership. Plans are billed on a recurring basis (typically monthly or annual) at the rate disclosed at the time of purchase. You authorize us to charge your designated payment method at the beginning of each billing period. If a billing date falls on a day that does not exist in a given month, you will be billed on the last day of that month.

Automatic renewal

Memberships renew automatically at the then-current rate at the end of each billing period unless you cancel before the renewal date. If a renewal payment fails, we may retry the charge and may suspend access until payment succeeds.

Free trials

We may offer free trials at our discretion. Unless you cancel before the trial ends, your Membership will begin automatically and your payment method will be charged at the start of the first billing period. We may limit eligibility to new users and may modify or end trial offers at any time.

Price changes

We may change Membership prices. We will provide notice of any price change at least 30 days before it takes effect. Your continued use of the Service after the change takes effect constitutes acceptance of the new price. If you do not agree, cancel before the change takes effect.

Cancellation and refunds

You may cancel at any time through your account settings or by emailing help@tessy.fun. Cancellation takes effect at the end of the current billing period; you retain access until then. Membership fees are non-refundable except as required by applicable law or as we elect, in our sole discretion, to provide a refund.

Account delinquency

If a charge is declined, we may retry it and notify you. If we cannot collect after reasonable attempts, we may suspend or terminate your Membership. You remain responsible for any unpaid amounts.

Taxes

Prices do not include applicable taxes (such as sales tax or VAT) unless stated. Where required by law, we will collect and remit applicable taxes. You are responsible for any taxes not collected by us that apply to your purchase.

7. Access to Membership Content

Your Membership grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Content for your personal, non-commercial use. You may not share your account credentials or allow anyone else to access the Service through your account. We may modify, update, or remove Content at any time without notice and do not guarantee that any particular Content will remain available.

8. Prohibited conduct

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law
• Infringe the intellectual property or other rights of others
• Attempt to breach or circumvent any security or authentication measures
• Transmit viruses, malware, or other harmful code
• Interfere with or disrupt the Service, its servers, or its networks
• Scrape, harvest, or otherwise collect data from the Service using automated means
• Share your account credentials or resell access to the Service
• Reproduce, duplicate, copy, sell, or commercially exploit any portion of the Service or its Content
• Misrepresent your identity or affiliation with any person or entity

9. Intellectual property

The Service and all Content — including puzzles, text, graphics, logos, icons, images, audio, software, and the compilation and arrangement of the foregoing — are the property of Tessy Games LLC or its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal, non-commercial purposes. This license does not include any right to resell or commercially use the Service or its Content, any derivative use of the Service or its Content, or any use of data mining, robots, or similar gathering tools.

10. Privacy

Our Privacy Policy describes how we collect, use, and share information. Your privacy rights are described in the Privacy Policy and vary by state and country of residence. Our use of cookies and similar tracking technologies is described in our Cookie Policy.

11. Third-party links and services

The Service may contain links to third-party websites or services that we do not own or control. We are not responsible for the content, policies, or practices of any third-party site or service, and we are not liable for any loss or damage arising from your use of them.

12. Disclaimer of warranties

To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available" without warranties of any kind, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Tessy Games LLC does not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected.

13. Limitation of liability

To the maximum extent permitted by applicable law, in no event will Tessy Games LLC be liable for any special, incidental, indirect, or consequential damages. Our aggregate liability under these Terms will not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) USD $100. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of these limitations may not apply to you.

14. Indemnification

You agree to indemnify, defend, and hold harmless Tessy Games LLC, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from your violation of these Terms or your use of the Service, except to the extent such claims arise from our gross negligence or willful misconduct.

15. Governing law and dispute resolution

Governing law

These Terms are governed by the laws of the State of Colorado, without regard to its conflict-of-laws provisions.

Informal dispute resolution

Before initiating any formal proceeding, you agree to first try to resolve the dispute informally by emailing help@tessy.fun. If the dispute is not resolved within 30 days, either party may initiate binding arbitration as described below.

Binding arbitration

You and we agree to resolve any dispute arising out of or relating to these Terms or the Service through final and binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration will be held in Denver, Colorado, unless you and we agree otherwise. If the value of your claim does not exceed USD $10,000, you may choose whether the arbitration is conducted on the basis of documents only, by telephone, or in person. This arbitration agreement is governed by the Federal Arbitration Act and survives termination of these Terms.

Exceptions

The following claims are not subject to arbitration:

• Claims that qualify for small-claims court
• Claims relating to intellectual property rights (e.g., copyright, trademark, patent)
• Claims for injunctive or other equitable relief to stop unauthorized use of the Service

Class action waiver

You and we agree that each may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any class, collective, or representative proceeding. The arbitrator may not consolidate more than one person's claims or preside over any form of class proceeding.

Arbitration fees

Payment of filing, administration, and arbitrator fees is governed by AAA rules. If the arbitrator finds your claim is non-frivolous, we will pay all such fees regardless of who initiated the proceeding.

30-day opt-out

You may opt out of this arbitration agreement within 30 days of first agreeing to these Terms by sending a signed written notice to us at the address listed in the Contact section. If you opt out, the rest of these Terms still apply.

16. Termination

We may suspend or terminate your access to the Service at our discretion, with or without notice, if we reasonably believe you have violated these Terms or that your continued access poses a risk to the Service, us, or others. Upon termination, your right to use the Service ends immediately.

17. Assignment

You may not assign or transfer these Terms, in whole or in part, without our prior written consent. We may assign these Terms without restriction.

18. Entire agreement; severability; waiver

These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Tessy Games LLC regarding the Service and supersede any prior agreements. If any provision is found unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision is not a waiver of that right or provision.
